As Chief Financial Officer currently oversees the company’s capital relationships.  Additionally, through a subsidiary, Builder Acquisition Corp., successfully guided the company through its filing for its initial public equity offering with the SEC as a Special Purpose Acquisition Corp (“SPAC”).  Its registration statement was accepted and approved by the SEC.  Company withdrew registration statement a result of the deteriorating market.

 

As the San Antonio Division President developed strategies resulting in a doubling of the company’s market share during the last three years turning the company from a significant loss in 2007 to three years of profitability.  Operational improvements include a 30% decrease in cycle time and significant improvement in overall quality and customer service.  Oversaw the development of two new product lines.  Added six new communities over the last twelve months.  Multiple Summit Awards, including Best Design 2009 and 2010.

Responsible for all operations including land acquisition, land development, construction, sales and marketing for Maryland based home-builder and developer with operations in Maryland, Delaware, South Carolina and Florida.  Established company’s business model based on acquiring raw unentitled land on an option basis or finished lots on a rolling option basis in order to maximize ROIC.  Revamped company’s customer experience program focusing on maintaining active and positive communication with buyer from sale through warranty period.  Worked to upgrade company’s website and web optimization strategies.

Orchestrated the sale of First Home Builders of Florida to K. Hovnanian in August 2005 for possible total consideration of approximately $350 million.  Negotiated and closed bank credit facilities providing $170 million of revolving credit.  Negotiated $100 million syndicated secured credit facility led by Bank of America (2004), mezzanine debt facility with Prudential Financial Inc. (2004), and structured-lot financing facility (2005).  Developed and implemented strategy to reduce company’s debt to equity from over 4 to 1 to just over 1 to 1.  Built talented and motivated team of professionals in accounting, finance, and human resource having recruited top talent nationally.  As one of three senior members of the executive management was actively involved in operations. Provided analysis and suggested change in pricing strategy responsible for dramatic increase in profitability (2004).  Integrated personnel, systems and procedures during rapid growth of vertical integrated construction subsidiary.   Company was recognized as the fastest growing homebuilder nationally in 2003 and 2004.

The Longford Group is a real estate development company operating in three industry segments: home-building, commercial development and multi-family rental construction in Las Vegas, Nevada; Albuquerque, New Mexico; and Tulsa, Oklahoma.  As the Chief Financial Officer, developed and executed re-organization strategy reducing the company’s debt to equity from 8.8 to 1 to 2.5 to 1.  This substantial improvement to the company’s leverage provided the opportunity to significantly improve the terms of the company’s bank financing, including a nearly 20% reduction in interest expense utilizing long-term interest rate contracts, a significant reduction in personal guarantees and the ability to secure additional capital through an unsecured line of credit.

Global Learning Systems, Inc.

Global Learning Systems is a business-to-business global Internet e-learning solutions provider offering web-centric IT and professional development training and education.  As the Chief Financial Officer, developed and implemented a financing strategy resulting in the closing of four rounds of financing including $1.1 million in first round funding from angel investors, second round financing totaling $18 million in senior debt, mezzanine debt and equity funding, third round financing in the amount of $35 million of redeemable preferred stock and $10 million of convertible preferred equity.  Proceeds have been used to fund five acquisitions, including one with global operations headquartered in the Netherlands.  Additional acquisition activities have been undertaken for companies headquartered in Spain, Germany and the United Kingdom.

The Fortress Group, Inc. is the result of a simultaneous merger of four privately held home-building companies and the combined initial public offering of equity and debt in May 1996.  The combined offerings raised over $130 million.  As a founding partner, was actively involved in the creation and implementation of the consolidation strategy.  Shepherded the first ever merger and simultaneous equity and senior debt offering through investment bank underwriting and SEC review.  Negotiated terms of acquisitions with candidate companies and the public offering terms with investment bankers.  Developed overall strategy for systems integration as a result of the merger.  Since May 1996 actively participated in the acquisition of nine additional companies including the development of the overall acquisition strategy and due diligence programs. Successfully completed consent solicitation of senior note holders in May 1997.  Developed overall financing strategy including negotiations with commercial banks providing over $360 million of commitments.
